Terms and Conditions of Sale

1) Purpose and scope

These General Terms and Conditions of Sale (T&Cs) govern the contractual relationship between PROMETHEON SYSTEMS (hereinafter 'the Seller') and any buyer (hereinafter 'the Customer'), whether an individual or a professional, for any purchase of IoT and LoRaWAN products offered on the website www.prometheon-systems.com.

Placing an order implies full and unreserved acceptance of these T&Cs. The Seller reserves the right to modify its T&Cs at any time. The applicable T&Cs are those in force on the date of the order.

3) Products

The products offered for sale are LoRaWAN and IoT sensors, gateways and accessories. The essential characteristics of each product are described in the catalogue available on the website. Prices are shown in euros, exclusive of VAT, as indicative prices. Photographs and descriptions are non-contractual.

The Seller reserves the right to modify its product range at any time. Products are available subject to stock availability or supplier lead times.

4) Order and quotation process

Every order is preceded by a quote request submitted to the Seller via the form available on the website or by email. The Seller undertakes to respond within 24 business hours of receiving the request.

The quote issued by the Seller is valid for 30 calendar days from its issue date. The order is only firm and final upon receipt by the Seller of written confirmation from the Customer (signed purchase order or express acceptance of the quote) together with payment or the agreed payment guarantee.

If a product becomes unavailable after order confirmation, the Seller will inform the Customer as soon as possible and will offer either a revised delivery date, an equivalent substitute product, or a full refund.

5) Pricing

Prices displayed on the website are indicative list prices excluding VAT. The final price is that shown on the quote accepted by the Customer. Applicable VAT at the current rate (currently 20%) is added to the price excluding VAT for customers subject to French VAT.

Delivery and packaging costs and any customs duties are not included in the product price and are specified on the quote.

In the event of a manifest pricing error (abnormally low price resulting from a technical error), the Seller reserves the right to cancel the order after notifying the Customer.

6) Payment terms

Payment is made by bank transfer (IBAN provided on the invoice), cheque, or any other method agreed at the quotation stage. For professionals, a 30-day end-of-month payment term may be granted upon request and subject to conditions.

Any late payment automatically incurs late payment interest at the legal rate plus 10 points, as well as a fixed recovery indemnity of €40 in accordance with Article L441-10 of the French Commercial Code.

Title to the products transfers to the Customer only upon full payment of the price.

7) Delivery

Delivery lead times are indicative and shown on the quote. If the announced lead time is exceeded by more than 7 business days, the Customer may request cancellation of the sale by registered letter with acknowledgement of receipt.

Products are delivered to the address specified by the Customer when placing the order. The Customer is responsible for the accuracy of the delivery information provided. Risks transfer to the Customer upon handover of the products to the carrier.

In the event of damaged or incomplete delivery, the Customer must note reservations with the carrier upon receipt and contact the Seller by email within 48 hours.

8) Right of withdrawal (consumer customers)

In accordance with Articles L221-18 et seq. of the French Consumer Code, any consumer customer (a natural person acting for purposes not related to their commercial or professional activity) has a period of 14 calendar days to exercise their right of withdrawal, without having to justify their reasons or pay any penalties, from the day after receipt of the product.

To exercise this right, the Customer must inform the Seller of their decision by any means that guarantees its date (email to [email protected] with the subject 'withdrawal'). The Customer then returns the products in their original condition and packaging, at their own expense, within 14 days of notification.

The refund is made within 14 days of receipt of the returned products, using the same payment method as that used for the purchase. Returned products must be complete, unused and in perfect condition.

The right of withdrawal does not apply to products manufactured to the Customer's specifications or clearly personalised.

9) Legal warranties

All products sold benefit from the legal warranty of conformity (Articles L211-4 et seq. of the French Consumer Code) for a period of 2 years from delivery of the item, and from the warranty against hidden defects (Articles 1641 et seq. of the French Civil Code).

In the event of a conformity defect, the Customer may choose between repair or replacement of the item, subject to the cost conditions provided for by law. If neither repair nor replacement is possible, the Customer may obtain a price reduction or cancellation of the sale.

These legal warranties apply independently of any commercial warranty that the manufacturer may offer. The manufacturers' datasheets and technical information (Milesight, RAKWireless) are applicable in this context.

10) Manufacturer commercial warranty

Milesight and RAKWireless products benefit from the manufacturer's commercial warranty (generally 1 to 2 years depending on the product). Detailed warranty conditions are available on the respective manufacturers' websites. In the event of a warranty claim, the Seller will assist the Customer in their dealings with the manufacturer.

11) Liability

The Seller cannot be held liable for damage resulting from misuse of products, installation not in accordance with the manufacturer's instructions, or use in conditions not specified in the datasheet.

The Seller's liability is limited, in all cases, to the amount of the order in question. The Seller cannot be held liable for indirect damages, loss of business or loss of profit.

12) Intellectual property

All trademarks, logos and technical data cited in this catalogue belong to their respective owners (Milesight, RAKWireless). The Seller is not the author or owner of these elements, but is authorised to sell them as part of its relationship with these suppliers.

13) Personal data

Data collected at the time of order is processed in accordance with the Seller's privacy policy, accessible at www.prometheon-systems.com/en/politique-de-confidentialite/. It is used exclusively for order processing and is not passed on to third parties.

14) Consumer mediation

In the event of a dispute not resolved amicably with the Seller, any consumer customer may have free recourse to a consumer mediator. The Seller adheres to the consumer mediation service offered by: CNPM MEDIATION DE LA CONSOMMATION, 27 avenue de la Libération, 42400 Saint-Chamond, France. 15) Applicable law and jurisdiction

These T&Cs are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution before any legal proceedings. Failing that, any dispute will be subject to the exclusive jurisdiction of the Antibes Commercial Court, unless there is a mandatory legal provision to the contrary (in particular for disputes with consumers).
